Checklist Forming Corporation

A checklist for forming a corporation is often handy when you are forming a corporation for the first time. There are many items on the checklist forming corporation and most of them need to be done in the order listed on the checklist for forming corporation below. Decide on the corporation's name   File the Articles of Incorporation.   File and apply for the Employer Identification Number using the IRS form SS-4.

  Prepare Shareholder Agreement (if applicable).

  Meet with a corporate accountant to discuss raising capital and taxes.

  Meet with securities lawyers to discuss how to issue stocks (if applicable).

  Pay any taxes for stock issuing.

  Hold a meeting (a corporation meeting checklist will come in handy) to

• complete Bylaws, Waivers, Minutes, Offers to Purchase Stock
• Sign all documents and keep the record of the minute

  Issue stock certificates

• Complete Bill of Sale if property is traded for stock

  File fictitious name (if applicable)

  Get licenses

  Open bank account

  If the corporation is to become an S Corporation, file IRS Form 2553.
